Frangioni Consulting AGREEMENT

  • Made effective as of the date on which the last of the parties hereto shall have executed this Agreement (the “Effective Date”)

    Between:
  • an individual hereinafter the “Client”

    - and –

    DAVID FRANGIONI 

    hereinafter the “Consultant”

    Whereas the Client wishes to contract with the Consultant for his services on a non- exclusive but priority basis on the terms and conditions that follow, and the Consultant wishes to be so retained;

    Now therefore this Agreement witnesses that in consideration of the mutual covenants and agreements contained herein and good and valuable consideration provided, the parties covenant and agree with each other as follows:

    1. Definitions. The following terms shall have the following meanings:
    • (a) “Agreement” means this Agreement as it may be supplemented or amended from time to time.
    • (b) “Confidential Information” means any information that either party would reasonably expect to be treated as confidential and any derivative of that information and includes contractual arrangements, corporate information, marketing plans, financial information, strategies, interpersonal dynamics, intellectual property, any litigation or negotiation, but does not include information or material that is or becomes generally available or known to the public other than as a result of disclosure by the Consultant or Client in violation of the terms hereof.
    2. Services. Commencing immediately, the Consultant will provide the Client  with private consulting services, The Consultant shall report to the Client as specified and as set out in attached Schedule “A” (the “Services”). The Client acknowledges that services are provided on a non-exclusive basis, and the Consultant may provide his services to other businesses and organizations, some of which may be in the same business as the Client and in fact may be competitive with the Client, provided that such services do not unreasonably interfere with the Consultant’s rendition of the Services under this Agreement.  For purposes of this Agreement, contact with the directions from or on behalf of the Client shall be soley with/by  or as he may otherwise direct in a written designation of a single individual provided to the Consultant.

    3. Duration. The term of this Agreement shall commence upon the mutual signing of this document and will last until terminated by either party (the “Term”). Either party may terminate this Agreement by written notice to the other party, such termination to take effect within ten (10) days after written notice has been given.

    4. Refunds. Refunds are not provided for time or services rendered. Missed meetings, or shortened meetings, will not be refunded - as scheduled meeting times are always set aside by David Frangioni and his team. Upon any termination, inasmuch as Consultant shall have paid US income taxes on payments received under this Agreement, none of the fees and payments theretofore made by Client to Consultant under this Agreement shall be refundable to Client even if such termination occurs prior the normal expiration of the Term of this Agreement.

    5. Fees and Payment. Under this Consulting Agreement, the Client shall pay the Consultant based on the Schedule “A” payment plan.  The Consultant shall be responsible for all expenses incurred in order to provide the Services hereunder, with the exception of travel expenses, which may be directed by the Client.     6. Non-Disclosure of Confidential Information. Except in the normal and proper course of the provision of the Services hereunder, both parties will keep all meetings, data, and information exchanged in strictest confidence and trust.

    7. Independent Contractor. 
    • 1. (a)  In performing the Services, the Consultant agrees and acknowledges that the Consultant is an independent contractor under this Agreement. Nothing contained herein shall be deemed or construed to create an employment relationship or any partnership or joint venture between the Consultant and the Client.
    • 2. (b)  Neither party shall acquire by virtue of this Agreement any right, capacity or power to act as an agent for the other or to bind the other to any other person, firm or corporation, except with the written agreement of the other if necessary to carry out the purpose and intent of this Agreement.
    • 3. (c)  The Consultant acknowledges that it is responsible for all payments with respect to all income, sales and other taxes, insured health benefits coverage, Workplace Safety & Insurance, Pension Plans, Employment Insurance premiums and costs and including the procurement and costs of any other benefits, but only with respect to the Consultant.
    8. Assignment. This Agreement may not be assigned by the Client or the Consultant, without the written consent of the other party, which shall not be unreasonably withheld. This Agreement shall inure to the benefit of and shall be binding upon the parties hereto and their respective successors and assigns.

    9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Palm Beach County, Florida. Under no circumstances shall Client be entitled to an award against Consultant of damages in excess of the fees actually paid to and received by Consultant under this Agreement, and Consultant shall have absolutely no liability under this Agreement for any claim of consequential or exemplary (punitive) damages.

  • I understand that this authorization will remain in effect until I cancel in writing, and I agree to notify All Access IDA in writing of any changes in my account information or termination of this authorization at least 15 days prior to the next billing date. If the above noted payment date falls on a weekend or holiday, I understand that the payment may be executed on the next business day. For Ach debits to my checking/savings account, I understand that because these are electronic transactions, these funds may be withdrawn from my account as soon as the above stated periodic transaction dates. In the case of an Ach transaction being rejected for Non-Sufficient Funds (NSF) I understand that All Access IDA may at its discretion attempt to process the charge again within 30 days, and agree to an additional $1000.00 charge for each attempt returned NSF which will be initiated as a separate transaction from the authorized recurring payment. I acknowledge that the origination of ACH transactions to my account must comply with the provisions of U.S. law. I certify that I am an authorized user of this credit card/bank account and will not dispute the scheduled transactions with my bank or credit card Company; provided the transactions correspond to the terms indicated in this authorization form.

    The Services, as directed by the Client to be performed only during the Term of this Agreement, shall be:

    - David Frangioni will provide a 1-hour long private consultation on artistic development, personal development, and career advancement strategies
    - David Frangioni will be available by email throughout the each month
    - Our team will review and catalog your top ten songs

    Date: Month 2
    Investment: $1000
    Work Scope:
    - David Frangioni will provide a 1-hour long private consultation, and be available by email throughout the course of the month.
    -We will work with you to create a specific timeline
    - Our team will review your goals (specifically as they refer to festivals, collaborations, revenue goals, fan goals, and more) and consult on developing a strategic road map

    Date: Month 3
    Investment: $1000
    Work Scope:
    - David Frangioni will provide a 1-hour long private consultation, and be available by email throughout the course of the month
    - Based on your strategic road map, our team will determine the best way to connect you with specific people that can make those goals a reality

    Date: Month 4
    Investment: $1000
    Work Scope:
    - David Frangioni will provide a 1-hour long private consultation, and be available by email throughout the course of the month
    - We will help you understand who to pitch and exactly how to pitch them

    Date: Month 5
    Investment: $1000
    Work Scope:
    - David Frangioni will provide a 1-hour long private consultation, and be available by email throughout the course of the month
    - We will help you with follow up strategies, and develop customized consulting based on future needs!
    *Work must be pre-paid. Work listed in “work scope” begins after payment is received for that month.
